These Terms & Conditions ("Terms") govern your participation in the Just Herbs Subscribe & Save ("SSP") programme available through the Just Herbs website at www.just-herbs.eu.

These Terms form a legally binding agreement between you and Just Herbs Europe BV ("Just Herbs", "we", "our", or "us"). By subscribing to the SSP, you agree to these Terms.

Your use of our website is also governed by our Website Terms of Service, Privacy Policy and any other applicable policies published on our website from time to time. These documents are incorporated into these Terms by reference.

1. Subscribe & Save Benefits

The SSP allows you to receive selected products on a recurring basis at discounted subscriber prices.

Only selected products are eligible for the SSP. Eligible products, subscription discounts, promotional offers and other subscription benefits may change from time to time without affecting orders that have already been confirmed.

The subscription discount applied to each order will be the discount applicable to your subscription at the time your order is processed, as shown on the product page and confirmed in your Order Confirmation email.

Unless otherwise stated, SSP discounts cannot be combined with other promotional codes, discount vouchers or promotional offers.

2. Ordering Process

Once you subscribe, future orders will be placed automatically according to the delivery frequency you selected during checkout.

Before each scheduled order is processed, we will send you an Order Confirmation email containing:

• the products included in your order;
• the total amount to be charged;
• the expected dispatch date; and
• instructions explaining how to modify, pause or cancel your subscription before the order is processed.

You are responsible for ensuring that your account details, delivery address and payment information remain accurate and up to date.

3. Product Availability

If a subscribed product is temporarily unavailable, we will notify you by email.

No payment will be taken until the product becomes available.

If the product is restocked within two weeks of the original scheduled dispatch date, your order will be processed automatically without any further action required from you.

If the product remains unavailable after two weeks, that scheduled delivery will be skipped. Your subscription will remain active, and future deliveries will automatically continue according to your original delivery schedule unless you choose to pause or cancel your subscription.

Temporary stock shortages will not affect the discounts applied to your other active subscriptions.

4. Prices, Payment and Renewal

Each subscription order will be charged at the product price applicable on the date your order is processed, including VAT where applicable, less the subscription discount available for your subscription.

By subscribing to the SSP, you authorise us to charge your chosen payment method automatically for each recurring order until your subscription is cancelled.

If we are unable to process payment using your selected payment method, we may attempt to charge another payment method on file with your account, where permitted by your payment provider.

If payment cannot be collected, we may retry the payment before requesting updated payment details.

If payment is not successfully received within seven (7) days after the scheduled billing date, we reserve the right to suspend or cancel your subscription.

5. Changes to Prices, Shipping Charges and Discounts

We may occasionally update product prices, shipping charges or subscription discounts.

Where reasonably possible, we will notify you by email before these changes take effect.

If email notification is not possible, your next Order Confirmation will clearly show the updated price before payment is taken.

If you do not wish to continue with the updated pricing, you may cancel your subscription before your next scheduled order without any cancellation fee.

You can review and manage your subscriptions at any time through your online account.

6. Promotional Subscription Offers

From time to time, we may offer promotional subscription discounts or introductory offers.

Unless expressly stated otherwise:

• promotional offers are available only during the advertised promotional period;
• promotional offers cannot be applied retrospectively to previous orders;
• promotional offers cannot be combined with other subscription promotions; and
• promotional offers may be withdrawn or amended at any time.

Where we specifically announce that an existing subscription will be upgraded to a new promotional discount, that upgrade will apply automatically in accordance with the terms of the promotion.

7. Pausing, Modifying or Cancelling Your Subscription

You may pause, modify or cancel your subscription at any time through your online account or by contacting our customer support team.

Any pause, modification, or cancellation will affect only future orders that have not yet been processed.

Orders that have already been processed or dispatched cannot be cancelled through the SSP.

If you cancel your subscription, no further recurring orders will be placed.

If you later reactivate or create a new subscription, the subscription discount and benefits available at the time of reactivation will apply. Previous subscription discounts or promotional offers may no longer be available.

8. Fraud and Misuse

We reserve the right to refuse, suspend or cancel subscriptions where we reasonably believe there has been:

• fraudulent activity;
• abuse of promotional offers;
• misuse of the Subscribe & Save programme; or
• any breach of these Terms.

9. Changes to these Terms

We may update these Terms from time to time.

Any revised Terms will become effective once published on our website.

Your continued participation in the SSP after any changes have been published constitutes acceptance of the revised Terms.

If you do not agree with any revised Terms, you should cancel your subscription before your next scheduled order.

10. Data Protection

Any personal information collected in connection with your subscription will be processed in accordance with our Privacy Policy.

11. Force Majeure

We shall not be liable for delays or failure to perform our obligations where such delays result from events beyond our reasonable control, including, but not limited to, supply chain disruptions, courier delays, industrial action, natural disasters, pandemics, governmental actions, or other unforeseen circumstances.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Netherlands.

Nothing in these Terms affects any mandatory consumer rights that you may have under the laws of your country of residence.

13. Severability

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful or unenforceable, that provision shall be deemed severable, and the remaining provisions shall remain in full force and effect.
