HCP's Referral Program Terms & Conditions


Just Herbs Europe BV. ("JH" or “We”) offers brand supporters (“Referrer” or “You”) the opportunity to participate in its referral program (the “Program”). We reserve the right to amend or terminate the Program at any time, for any reason. The Program is administered by JH.

Referrers are bound by these Terms and Conditions by participating in the Program. By participating in the Program, Referrers agree to use the Program in the manner specified in these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to register as a Referrer or to participate in the Program in any other manner. Referrers may not participate in the Program where doing so would be prohibited by any applicable law or regulations.

We reserve the right to modify or amend at any time these Terms and Conditions and/or the methods through which rewards are earned. We reserve the right to disqualify any Referrers from participation in the Program at any time at our sole discretion, including without limitation if he/she does not comply with any of these Terms and Conditions or otherwise fails to comply with any applicable laws (including, without limitation, through any failure to include any disclosures as required by the Government or otherwise required by JH).

1. Definitions 

1.1. In these Terms and Conditions, the following definitions will be used.

Referral Discount Code means the special code created by Just Herbs to Referred person , as applicable.

Product means the Just Herbs products available to purchase on www.just-herbs.eu.

Referrer (Healthcare Provider): a healthcare provider who makes a referral/refers to his/her clients. A referrer must be above the age of 18, resident within the European continent.

Referred Person (Client) is someone who is referred or invited to a program by someone else (Referrer) . A Referred Person is any person above the age of 18, resident within the European continent.

Referral Terms means these Terms and Conditions, including updates, alterations and possible appendices, published on the Just Herbs website.

We (“our”, “us”, “Just Herbs”) means Just Herbs Europe B.V., a Dutch limited liability company located at Delflandlaan 1, Amsterdam Queens Tower, 1062 EA, Amsterdam, in the Netherlands, company registration number KVK 85394440, VAT number NL863608802B01.

Webshop means our online shop section where you can acquire information about our Products and purchase them: www.just-herbs.eu  

Website means our website: www.just-herbs.eu  

You(“Your”, “Yours”) means the Referrer. 

1.2. Capitalized terms that are not defined here will have the same meaning given to them in the Just Herbs Terms and Conditions as published on our webpage.

2. Scope of Application

2.1. The Just Herbs Referral Program allows a Referrer to introduce client (‘Referred Person’) to Just Herbs.

2.2  By participating or attempting to participate in the Referral Program:

You accept and agree that You, as a Referrer, are bound by these Referral Terms; and

You acknowledge that You have read and understood the information concerning the Just Herbs Privacy Policy.

3. Registration 

3.1. To participate in the Program, you should visit our online application site, Referral Program Application Form to complete an application for the Referral Program. The site is a password protected, so please contact our support team to obtain a password. Your application is subject to review, and we reserve the right to refuse applications that do not meet our standard. If your application has been approved, you will be provided with a confirmation email within 5 working days from the time you have submitted your application.

3.2. Once your application for the Referral Program has been approved by us, you can start introducing your clients to us. To register Referred Person (client) in the Program, you should visit our online Referral Register, and follow the on-screen instruction to refer your clients to the program by entering their contact information in the relevant fields.

3.3. Individuals who receive a referral via Referrer are ‘Clients’ (or, singly a ‘Client’). An "Eligible" Referrer who is fully compliant with these Terms and Conditions may receive "Referral Fee (s)" for "Qualified Referral” (all terms in quotes to be understood as defined below).

3.4. by registering Referred Person in the Program, a Referrer must obtain prior consent to provide their contact information.

3.5. If your Referred Person is not a resident of the EU, we may need to share their contact details with the appropriate Just Herbs group company (e.g., Just Herbs Limited) that covers the Referred Person’s region of residency. We will use the Referred Person’s contact details solely for the purpose of registering them in our program.

3.6. There is no limit to the number of times the Referrer can repeat the referral process via our online Referral Register. Each successful referral, we will send an invitation email to Referred Person to provide with Referral Discount Code that has a agreed percentage of discount.

4. Eligible Referrer

4.1. To be ‘Eligible’, a Referrer must:

4.2. Be working in healthcare industry and providing healthcare services. Ie herbalist, therapist etc.

4.3. Be a legal resident within the EU.

4.4. Be at least 18 years old.

5. Qualified Referral 

5.1. A “Qualified Referral” means that all the following conditions are met:

5.2. The Referred Person must be a new customer who has never registered their contact details with Just Herbs, including email, phone number.

5.3. The Referred Person had not previously made a purchase in our online shop under any email address or alias;

5.4. The Referred Person is a legal resident within the EU and at least age of 18 years old.

6. Referral Fee

6.1 We pay you (Referrer) a Referral Fee as a reward. A Referral Fee Rate is a percentage (%) of the Qualified Sales Values, that we pay to Referrer.

6.2. The Qualified Sales Value is the sales value that exclude any taxes/vat, refund, shipping, handling, customer returns, gift wrapping, or any non-product add-ons. And The Qualified Sales Value must be generated by Referred Person and Referred Person must purchase our products using your Referral Discount Code in our Webshop. If Referred Person purchases our products in our Webshop without using your Referral Discount Code or using other discount codes (ie. our seasonal promotional discount code, someone else's discount code), the sale value on this purchase cannot be qualified as the Qualified Sales Values.

6.3. Referral Fee will be calculated quarterly; January-March, April-June, July-September, and October-December yearly.

6.4. You will be paid approximately 30-45 days after the end of each quarterly period. If a product that generated a referral fee is returned by the customer and/or any adjustments needed, then we will deduct the corresponding fee from your next quarterly payment. If there is no subsequent payment, we reserve the right send you a bill for the fee at the end of the following quarterly period.

6.5. You'll receive a payment only if your accumulated Referral Fee total € 100 or more in the period of our fixed quarterly basis. Note: If your accumulated commissions total less than €100, you will not receive a payment.

6.6. In order for you to receive Referral Fee, we must have your valid information on file, including your name, company name (if applicable), address, and applicable tax ID number. You also must ensure that you are legally allowed to receive a Referral Fee by referring your clients/patients.  

6.7. Referral Fee may be taxable income in certain country. You are responsible to comply with your local tax regulation, and check with your local tax specialist.

6.8. Within certain healthcare providers, we can’t pay a Referral fee to Referrer. In this case, we may only provide a discount code to Referred Person. If you are a certain healthcare provider that is not allowed to receive a Referral fee, you must opt only to give a discount code to your Referred Person at the time of registration . It is your responsibility that you must check your legal requirements in your country. If your professional/business status has changed and it becomes illegal to receive a Referral fee, you must inform us and not receive any payment from us. 

7. A Percentage of Referral Fee Rate and Referral Discount Code

7.1.  Just Herbs offers a Referral Fee Rate of up to 30%, which may include a 10% Referral Discount Code for the Referred Person. At the time of registration, the Referrer must select a Referral Fee Rate and a Referral Discount Code, which will be applied as follows:

The Referral Discount Code must be at least 10%.

Options include:

A 20% Referral Fee for the Referrer and a 10% Referral Discount Code for the Referred Person, or

A 10% Referral Fee for the Referrer and a 20% Referral Discount Code for the Referred Person.

7.2. You may choose to forgo the Referral Fee entirely, in which case the Referrer will receive no payment. The highest percentage currently available for the Referral Discount Code is 30%, but this is subject to change without notice.

7.3. Once selected, the percentage of the Referral Fee Rate and the Referral Discount Code cannot be changed.

8. Use of the Discount Code

8.1 The Discount Code can only be redeemed in the Just Herbs Webshop.

8.2 Just Herbs will only provide the discount in electronic form using a Discount Code.

8.3 The Discount Code cannot be used in conjunction with any other sales promotions or programs.

8.3 The discount will be offered in Euro (€) only.

8.4 In no case may any of these discount codes be exchanged for the monetary value of the Discount Code.

8.5 When purchasing the Product with the Referred Person Discount Code, the general Terms of Conditions apply.

9. Promoting our products through affiliate links

9.1 If you're interested in promoting our products through affiliate links on your platforms, website, social media, and emails, you can earn commissions for every successful sale generated via your unique affiliate link. To obtain your unique affiliate link, please contact our support team.

Please keep in mind the following:

  1. Your clients or patients won't receive a discount unless you refer them to register with us, and they must use a discount code during checkout on our online shop.
  2. By adding an affiliate link to your platforms, you automatically agree to abide by the Affiliate Program's Terms & Conditions.

10. Privacy and Data Protection

10.1 Any personal details provided in connection with the Referral Program will be processed in accordance with our Privacy Policy. It is important that You carefully read and understand this information.

10.2 All data collected by Us will be used and processed exclusively within the framework of the current Dutch and European Union data protection laws and in accordance with Our data protection and privacy policies.

11. Right to Termination

11.1. Right to termination by Just Herbs

11.1.1. Just Herbs can terminate the Referral Program or a person’s ability to participate at any time for any reason and without notice.

11.1.2. Just Herbs reserves the right to suspend accounts, cancel the Referral Discount Code or refuse a transaction if we notice any activity, We believe fraudulent, improper, or unlawful or if We have reason to assume You are in breach of these Referral Terms.

11.1.3. Just Herbs reserves the right to review and investigate all referral activities and to suspend accounts or modify referrals as deemed fair and appropriate.

11.2. Right to termination by Referrer

11.2.1. Referrer's Notice of Program Termination: In the event that a Referrer decides to quit the Just Herbs referral program, they must provide written notice of their intention to terminate their participation in the program to Just Herbs. The notice should clearly state their decision to quit the program with the termination date, and include relevant contact information for further communication.

11.2.2. Payment of Accumulated Referral Fee as a Final Payment: You'll receive your final payment only if your accumulated Referral Fee total € 100 or more in the period between the first date of the quarterly period of the termination date, and the termination date . Note: If your accumulated commissions total less than €100, you will not receive a payment. The payment may be calculated at the next accounting period, depending on when the Referrer cancels their participation.

11.2.3. Referred Clients' Entitlement: Referred clients, also known as Clients, shall retain their entitlement to use the provided discount code associated with the referral program. Quitting the program by the Referrer does not impose any penalty or impact on the Referred Clients' ability to utilize the discount code.

11.2.4. Cessation of Referral Fees: Upon quitting the program, Just Herbs will cease payment of any Referral fees to Referrers who have terminated their participation in the program. Referrers will no longer be eligible for further Referral fees or rewards associated with the program.

12. Severability

12.1 In the event that any provision of these Referral Terms is declared invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect. In such a case, the Parties shall endeavour in good faith to modify the invalid or unenforceable article or to agree on a new article that is valid and enforceable.

13. Liability

13.1. By participating in the Program, Referrers agree to:

13.1.1. Be bound by these Terms and Conditions, the decisions of Just Herbs and its designees, and the Privacy Policy of Just Herbs;

13.1.2. Defend, indemnify, release and hold harmless JUST HERBS, its parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Program (collectively, the "Released Parties"), from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to Referrers’ participation in the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Program or any Reward); and

13.2. JUST HERBS shall not be liable for:

13.2.1. Late, lost, delayed, stolen, misdirected, incomplete, unreadable, inaccurate, unreliable, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission.

13.2.2. Telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors;

13.2.3. Data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials;

13.2.4. Any printing, typographical, administrative or technological errors in any websites or materials associated with the referral program; or

13.2.5. Claims, demands, and damages in disputes among Referrers or between Referrers and Friends; or

13.2.6. Any other injuries, losses or damages of any kind resulting from acceptance, possession, or use of a reward, or from participation in the Program, that were not reasonably foreseeable to JUST HERBS at the relevant time.

13.3. JUST HERBS disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Program, and reserves the right, in its sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other cause beyond JUST HERBS’s control corrupt the administration, security or proper operation of the Program.

13.4. JUST HERBS shall not be liable to any Referrer for failure to supply any Reward or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slowdown, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of the released parties' control.

13.5. JUST HERBS reserves the right to cancel or suspend the Program should JUST HERBS determine, in its sole discretion, that the administration, security or fairness of the Program has been compromised in any way.

13.6. Disclaimer of Warranties

REFERRERS EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF THE PROGRAM IS AT YOUR SOLE RISK; THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND JUST HERBS EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS (COLLECTIVELY, "PROMISES") OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT; (B) JUST HERBS MAKES AND GIVES NO WARRANTY THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, (ii) THE RESULTS OBTAINED FROM THE USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE, (iii) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (iv) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL. Please also review our Disclaimer Policy.

13.7. Limitation of Liability and Indemnification

13.7.1. REFERRERS EXPRESSLY UNDERSTAND AND AGREE THAT JUST HERBS (INCLUDING ANY VENDORS AND SERVICE PROVIDERS ASSOCIATED WITH OR ASSISTING IN PROVIDING THE PROGRAM) SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF JUST HERBS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE PROGRAM; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH, FROM, OR AS A RESULT OF THE PROGRAM; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE PROGRAM; OR (v) ANY OTHER MATTER RELATING TO THE PROGRAM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS IN THIS PARAGRAPH MAY NOT APPLY TO YOU.

13.7.2. TO THE FULLEST EXTENT POSSIBLE BY LAW, JUST HERBS'S (INCLUDING ANY VENDORS AND SERVICE PROVIDERS) MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), SHALL NOT EXCEED €100 EUROS.

13.7.3. REFERRERS SHOULD USE THE PROGRAM AT THEIR OWN RISK.

14. Changes to Terms and Conditions

14.1 Just Herbs reserves the right to, at all times, amend these Referral Terms by publishing an amended version on the Just Herbs website.

14.2 You are free to decide whether or not to accept a revised version of these Referral Terms. If You do not agree to any revised version of these Referral Terms, Your sole recourse is to stop Your participation in the Referral Program.

14.3 Except as otherwise expressly stated by Us, participation in the Referral Program is subject to, and constitutes Your acceptance of, the version of these Referral Terms in effect at the time of Your participation in the Referral Program.

15. Applicable Law and Dispute Resolution

15.1 All contracts concluded with Just Herbs shall be governed by Dutch law.

15.2 Any dispute between You and Just Herbs in relation to the agreement, including the understanding and the extent of these Terms and Conditions will be resolved by the competent court in Amsterdam, the Netherlands.
